These Terms of Use ("Terms") govern your use of bookkeepingprompts.com and its pages, prompts, guides, template links and submission form (the "Site"), operated by Bookkeeping Prompts ("we", "us"). By using the Site you agree to these Terms. If you do not agree, do not use the Site.

Section 12 contains an arbitration agreement and class action waiver. It affects how disputes are resolved.

1. General information, not professional advice

Everything on the Site, including prompts, workflows, guides, examples, worked numbers and summaries of third party sources, is general information for educational purposes. It is not accounting, tax, legal, financial, investment or security advice, and it is not tailored to your business. Using the Site does not create an accountant, tax preparer, attorney, advisor or any other professional or fiduciary relationship between you and us.

Rules, tax laws, software features and vendor terms change, and they differ by jurisdiction. Before you act on anything you read here, consult a licensed professional, such as a CPA, enrolled agent or attorney, who knows your situation.

2. Your responsibility for AI output and your data

AI tools can be wrong, incomplete or out of date, and they can state errors with confidence. You agree that:

  • You are solely responsible for reviewing and verifying any output you produce with a prompt or workflow from the Site before you rely on it, record it in any books, file it, or send it to anyone.
  • You are responsible for protecting your own data and your clients' data, and for following your professional, contractual and legal obligations, including any confidentiality rules that apply to you.
  • You will not paste client personally identifiable information (such as names tied to account numbers, Social Security or tax ID numbers, full bank or card numbers, or login details) into AI tools. Remove or mask it first, and check each tool's data and retention settings yourself.

3. The Site is provided as is

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS OR TIMELINESS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR FREE, OR THAT ANY PROMPT OR WORKFLOW WILL PRODUCE A CORRECT OR PARTICULAR RESULT.

4. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BOOKKEEPING PROMPTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS, OR ANY TAX PENALTIES, INTEREST OR FILING ERRORS, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SITE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE SITE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. THE SITE IS FREE, SO THAT AMOUNT IS ZERO. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.

5. Indemnification

You agree to defend, indemnify and hold harmless Bookkeeping Prompts from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your use of any AI output, your submissions, your violation of these Terms, or your violation of any law or the rights of any third party, including your clients.

6. Third party tools, links and affiliates

The Site describes and links to third party software, AI tools, websites, books and stores, including our sister store ReconciledBooksCo. We do not control third parties and are not responsible for their products, content, accuracy, availability, security, pricing or privacy practices. Your use of any third party service is governed by its own terms. Some links earn us money; see the Affiliate Disclosure. Purchases from ReconciledBooksCo are governed by that store's own terms.

7. Submissions

If you send us a workflow, correction or other material through the submission form or by email (a "Submission"), you grant Bookkeeping Prompts a worldwide, non-exclusive, royalty-free, perpetual, irrevocable and sublicensable license to use, copy, edit, adapt, rewrite, publish, display and distribute it, in any form, with or without attribution. We may decline, edit or remove any Submission and owe no payment for it.

By sending a Submission, you represent and warrant that:

  • you own it or have all rights needed to grant the license above;
  • it does not infringe anyone's copyright, trademark, privacy or other rights, and is not confidential;
  • it contains no client data or personal information about anyone else; and
  • it is accurate to the best of your knowledge and does not misstate its source.

8. Intellectual property and trademarks

The Site's design, text and original prompts are owned by Bookkeeping Prompts or its licensors. You may copy prompts from the Site for your own business or client work. You may not republish the Site's content in bulk, or present it as your own, without our written permission.

QuickBooks, Xero, ChatGPT, Claude, Gemini, Copilot and every other product name, logo and brand mentioned on the Site are trademarks of their respective owners. We use them only to identify those products. Bookkeeping Prompts is not affiliated with, sponsored by or endorsed by any of them unless we say so explicitly.

9. Acceptable use

You agree not to:

  • use the Site for anything unlawful, fraudulent or deceptive;
  • submit spam, malware, false sources, or other people's personal information;
  • scrape, crawl or copy the Site in a way that burdens it, or bypass any rate limit or security measure (normal search engine indexing is fine);
  • interfere with the Site or attempt to gain unauthorized access to it; or
  • misrepresent your affiliation with Bookkeeping Prompts.

We may block access or remove content at our discretion. The Site is not directed to children under 13, and you must be at least 18 to send a Submission.

10. Changes to these Terms

We may update these Terms. When we do, we will change the "Last updated" date above. Changes apply from that date, and your continued use of the Site means you accept them. If you do not agree, stop using the Site.

11. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law rules, and by the Federal Arbitration Act for Section 12. Any dispute that is not subject to arbitration will be brought only in the state or federal courts located in Bexar County, Texas, and you and we consent to their jurisdiction.

12. Arbitration and class action waiver

Informal resolution first. Before filing any claim, you agree to email hello@bookkeepingprompts.com with a description of the dispute and give us 30 days to try to resolve it informally.

Individual arbitration. If it is not resolved, any dispute arising out of or relating to the Site or these Terms will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitrator decides all issues, including the scope and enforceability of this agreement. The arbitration will take place in Bexar County, Texas, or by video or written submission if you prefer.

Class action waiver. You and we each may bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not consolidate claims or award relief on a class basis. If this waiver is found unenforceable for a claim, that claim must be heard in court, not in arbitration.

Small claims and exceptions. Either party may instead bring an individual claim in small claims court in Bexar County, Texas, or in your county of residence, if it qualifies. Either party may also ask a court to stop infringement of its intellectual property.

Opting out. You may opt out of this Section 12 by emailing hello@bookkeepingprompts.com within 30 days after you first use the Site, with the subject line "Arbitration opt-out".

13. General

If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. These Terms, with the Privacy Policy and Affiliate Disclosure, are the entire agreement between you and us about the Site. Sections 2 through 8 and 11 through 13 survive after you stop using the Site.
